NBLK® Consulting – Terms of Use
Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of any websites, platforms, tools, applications, or services operated by NBLK® LLC, including its affiliated entities (such as NNX Business Solutions™) and third parties licensed to use NBLK®-owned technologies, including but not limited to the NNX1® engine.
By accessing or using any part of these services, you agree to comply with these Terms and our Privacy Policy. If you do not agree, please do not access or use our websites or platforms.
Scope of Terms
These Terms apply to:
- The NBLK® Consulting website and digital services
- Subsidiaries of NBLK® LLC, including NNX Business Solutions™
- Any tools or products powered by licensed NBLK® technologies (e.g., the NNX1® engine)
Use of any of the above constitutes acceptance of these Terms.
Changes to Terms
We reserve the right to modify these Terms at any time. Any updates become effective immediately upon posting. Your continued use of our services after changes are made constitutes your acceptance of those changes.
Access and Security
You are responsible for the accuracy and security of any information you use to access our platforms. If issued login credentials, you must maintain their confidentiality and notify us immediately of any unauthorized use or suspected breach.
Intellectual Property
All content on our platforms—including but not limited to text, graphics, algorithms, diagnostic tools, reports, and software—is the exclusive property of NBLK® LLC and protected under intellectual property laws. You may use this content solely for personal, non-commercial purposes unless otherwise explicitly authorized in writing.
Licensed Tools and Services
Any use of NBLK®-owned technologies (such as the NNX1® engine) by subsidiaries or licensed partners is governed by additional terms, licensing agreements, or user guidelines. These tools may only be used as intended, and unauthorized copying, modification, or distribution is strictly prohibited.
Prohibited Uses
You agree not to use our services to:
- Violate any laws or regulations
- Harm or exploit minors or vulnerable individuals
- Upload malicious software or engage in unauthorized access
- Misuse or reverse engineer proprietary tools or algorithms
- Collect or harvest data without consent
User Contributions
Any content or data you submit through our platforms (e.g., responses to diagnostics, feedback, or comments) may be reviewed for quality or improvement. You grant NBLK® LLC a non-exclusive, royalty-free right to use, modify, and analyze that content in service development, research, or internal analysis.
Disclaimer of Warranties
Our websites and tools are provided "as is" and "as available," without warranties of any kind. We make no guarantees regarding the accuracy, completeness, performance, or reliability of any tool or result, especially during beta testing or MVP stages.
Limitation of Liability
To the fullest extent permitted by law, NBLK® LLC, its subsidiaries, and its licensors shall not be liable for any indirect, incidental, special, or consequential damages arising from your use or inability to use our services.
Beta Use and MVP Disclaimer
Some of our tools (including diagnostic engines or matching platforms) may be in beta or MVP (Minimum Viable Product) testing. These tools are experimental and may produce inaccurate, incomplete, or AI-generated responses (hallucinations). Use them at your own discretion, and do not rely solely on them for business-critical decisions.
Governing Law
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts located within New York County, New York.

OKRA™ Product Terms of Service

Company: NBLK® Consulting LLC, doing business as OKRA™ ("NBLK®," "Okra," "we," "us," or "our")
These OKRA™ Terms of Service (the "Terms") govern the purchase, use, and delivery of OKRA™ products and services, including but not limited to Website OKRA™, App OKRA™, AI Bot OKRA™, Dashboard OKRA™, and Google Visibility OKRA™ (each, a "Product," and together, the "Products").
By clicking to accept these Terms, submitting a deposit, making any payment, approving a wireframe, requesting work to begin, or otherwise engaging OKRA™ services, the client ("Client," "you," or "your") agrees to be bound by these Terms.
1. About OKRA™
OKRA™ is a product line of NBLK® Consulting LLC designed to provide structured, small-business digital products at defined base pricing. OKRA™ Products are intended to help businesses launch or improve a digital presence through streamlined service packages.
OKRA™ Products are not custom enterprise engagements unless separately stated in a written agreement signed by both parties.
2. Products Covered by These Terms
These Terms apply to all OKRA™ Products, including:
- Website OKRA™
- App OKRA™
- AI Bot OKRA™
- Dashboard OKRA™
- Google Visibility OKRA™
Each Product may also have its own product-specific terms, scope details, limitations, deliverables, and optional add-ons. In the event of a conflict between these Master Terms and a product-specific terms page or signed order, the more specific written terms for that Product will control only as to that Product.
3. Base Pricing
Unless otherwise stated in writing:
- The base price for Website OKRA™, App OKRA™, AI Bot OKRA™, and Dashboard OKRA™ is $399 USD each.
- The base price for Google Visibility OKRA™ is $199 USD.
Base pricing applies only to the standard included scope for the selected Product. Any feature, functionality, revision, integration, content work, infrastructure, deployment environment, data service, support, or service request outside the defined base scope is an additional service and may require additional fees.
No out-of-scope work will be performed unless approved by NBLK®.
4. Deposit Requirement and Project Start
For Website OKRA™, App OKRA™, AI Bot OKRA™, and Dashboard OKRA™, a $50 USD refundable deposit is required to begin the wireframe, sketch, layout, or initial structured design process.
Google Visibility OKRA™ does not require a wireframe deposit unless otherwise stated in writing.
The deposit:
- reserves a project slot,
- initiates the structured concept and wireframe process,
- is applied toward the Client's base Product price if the Client approves the wireframe or fails to respond within the review window described below.
5. Wireframe, Review Window, Approval, and Refund Policy
5.1 Initial Design Stage
After deposit confirmation, NBLK® will prepare and deliver an initial wireframe, sketch, structured layout, conversation design, dashboard concept, app flow, or similar preliminary build plan, depending on the Product purchased.
5.2 Included Revision
One (1) revision round is included at the wireframe or concept stage unless otherwise stated in writing.
The included revision must be submitted as one consolidated request through the designated form, portal, or communication method provided by NBLK®.
5.3 Review Period
The Client has seventy-two (72) hours from delivery of the wireframe or concept to do one of the following:
- approve the design,
- submit the one included revision request, or
- reject the design and cancel the project before full build begins.
5.4 Deposit Refund Rule
If the Client rejects the initial design and chooses not to proceed within the 72-hour review period, the $50 deposit will be refunded in full.
Payment processor fees, bank fees, chargeback fees, currency conversion fees, and similar third-party transaction costs, if any, may be excluded from the refunded amount to the extent they are not recoverable by NBLK®.
5.5 Failure to Respond
If the Client does not approve, reject, or submit the included revision request within the 72-hour review period, the design will be deemed approved automatically, the deposit will become non-refundable, the deposit will be applied to the Product price, and NBLK® may proceed with the build.
At that point, the Client becomes responsible for the full quoted amount for the selected Product and any approved add-ons.
5.6 Effect of Approval
Once the wireframe, concept, or preliminary design is approved—either expressly or by failure to respond within 72 hours—the project moves into build and delivery. Refunds are no longer available for work already commenced, except where required by law or expressly stated by NBLK® in writing.
6. Delivery Timeline
Unless otherwise stated in writing, after wireframe approval the selected Product is generally delivered in approximately seven (7) days, depending on complexity, timely Client response, content readiness, approvals, third-party platform requirements, and scope.
Delivery timelines are estimates, not guarantees.
NBLK® is not responsible for delays caused by:
- incomplete or missing Client content,
- delayed Client approvals or responses,
- changes in scope,
- third-party outages, integrations, hosting providers, domain registrars, app platforms, SMS providers, API providers, or payment systems,
- compliance reviews, account verification, or platform restrictions,
- force majeure events or events outside NBLK®'s reasonable control.
Expedited delivery may be available for an additional fee.
7. Scope of Base Product Services
Each OKRA™ Product includes only the standard scope stated on the applicable product page, checkout, proposal, invoice, or product terms page.
In general, the base Product includes a structured foundational build intended for early-stage or small-business use. Base Products do not include unlimited customization, enterprise architecture, advanced legal compliance implementation, custom copywriting unless expressly stated, custom illustration, ongoing optimization, unlimited meetings, unlimited revisions, advanced integrations, advanced automations, or custom infrastructure unless separately agreed.
The Client acknowledges that Product descriptions on the website and product pages describe the general nature of the Product and that exact deliverables may vary slightly based on the Product purchased, the provided content, and practical implementation needs.
8. Out-of-Scope Work and Add-On Services
The following are examples of services that may require additional fees if requested or required:
- additional revisions beyond the included revision round,
- extra pages, views, workflows, reports, prompts, automations, or layouts,
- additional integrations,
- advanced forms, calculations, notifications, workflows, or backend logic,
- custom database architecture,
- advanced dashboard logic,
- extra data connections,
- migration work,
- third-party API configuration,
- domain transfers,
- copywriting, content entry, image sourcing, or SEO beyond the included base scope,
- post-launch changes,
- retraining, reconfiguration, or rebuilding,
- maintenance not expressly included,
- urgent turnaround requests,
- support outside the included service window.
NBLK® may quote such work separately and may decline out-of-scope requests.
9. Optional Hosting, Data Storage, and Backend Add-Ons
Certain Products may require or benefit from optional infrastructure and support services. Unless otherwise stated in writing, optional add-ons may include:
9.1 Hosting
If the Client does not have its own hosting or deployment environment, OKRA™ may offer hosting through NBLK® or its infrastructure provider for $5 USD per month. The Client may migrate to another hosting provider at any time. NBLK® is not responsible for third-party hosting performance or downtime.
9.2 Database Storage
If database storage is required, it may be provided at $10 USD per month. This fee continues until the Client transitions to its own infrastructure or cancels the service.
9.3 Backend Systems and Automation Add-Ons
Custom backend functionality, including calculations, workflows, notifications, or system logic, may be provided as an add-on ranging from $75 to $150 USD per build, depending on complexity. Additional builds, changes, or enhancements beyond the initial implementation will incur additional fees.
10. Payment Terms
10.1 Payment Options
Clients may pay for Products either: in full upfront, or through a payment plan.
10.2 Payment Plan
Clients may choose a payment plan as low as $15 USD per month until the base Product price is paid in full. A one-time $35 USD payment plan fee will be added to the base Product price. This fee applies regardless of early payoff.
10.3 Ownership Restriction Until Paid
Until the base Product price is paid in full, NBLK® retains ownership rights to the Product and underlying design.
11. Ownership and Intellectual Property
Upon full payment of the base Product price and any agreed add-ons:
- the Client receives ownership of the delivered Product code, design, and digital assets,
- the Client may use, modify, or transfer the Product as they choose.
If the Product is not paid in full, NBLK® retains full ownership and may:
- reuse, resell, or repurpose the design,
- rebrand or deploy similar structures for other clients or internal use.
NBLK® may retain a working copy of the Product solely for hosting, support, or operational purposes if services are active.
12. Client Responsibilities
The Client agrees to:
- provide all required content, including text, images, branding, and service information,
- ensure that all provided content is accurate, lawful, and owned or properly licensed,
- respond within required timelines,
- review and approve deliverables promptly,
- maintain compliance with applicable laws and regulations.
NBLK® is not responsible for legal compliance of Client content, including but not limited to privacy laws, accessibility laws, or industry-specific regulations.
13. Service Suspension for Non-Payment
For hosting, database, or other recurring services:
- if payment is outstanding for 60 days, services may be suspended,
- services will be restored upon payment of all outstanding balances.
NBLK® is not responsible for data loss resulting from prolonged non-payment or suspension.
14. Acceptable Use and Right to Refuse Service
NBLK® reserves the right to refuse or terminate service at its sole discretion for any project involving:
- hate, harassment, or discrimination,
- derogatory or harmful content targeting any group based on ethnicity, religion, gender, race, language, or sexual orientation,
- illegal or fraudulent activities,
- content that violates platform policies or applicable laws.
15. Limitation of Liability
To the maximum extent permitted by law:
- NBLK® shall not be liable for indirect, incidental, or consequential damages,
- NBLK®'s total liability shall not exceed the total amount paid by the Client for the Product.
16. No Guarantees
NBLK® does not guarantee:
- business outcomes,
- user engagement,
- revenue generation,
- search rankings,
- system performance on third-party platforms.
17. Third-Party Services
Products may rely on third-party tools, platforms, APIs, hosting providers, or integrations. NBLK® is not responsible for third-party failures, outages, policy changes, pricing changes, or service interruptions.
18. Termination
Either party may terminate services prior to build completion, subject to the refund and approval terms outlined above. Once build has commenced after approval, fees are non-refundable.
19. Changes to Terms
NBLK® may update these Terms at any time. Updated Terms will be posted on the website and apply to new purchases.
20. Governing Law
These Terms shall be governed by and interpreted in accordance with the laws of the applicable jurisdiction where NBLK® Consulting LLC is registered.
21. Acceptance
By proceeding with any OKRA™ Product purchase, deposit, or engagement, the Client acknowledges that they have read, understood, and agreed to these Terms of Service.
FADE™ SMS / Text Messaging Terms
Effective Date: 12 July 2026
Program: FADE™, a product of NBLK® LLC ("NBLK®," "FADE," "we," "us," or "our")
1. Program Description
FADE™ is an appointment and time-booking tool. Through the FADE™ program, NBLK® sends transactional text (SMS/MMS) messages such as booking links, appointment confirmations, reminders, and scheduling updates to individuals who have agreed to be contacted. FADE™ does not send promotional or marketing text messages under this program.
2. Consent to Receive Messages
You will only receive text messages if you have provided your mobile number and agreed to receive appointment-related messages, or if a person you do business with adds you as a contact after you have agreed, directly or in person, to receive their booking and appointment messages. By providing your mobile number for this purpose, you consent to receive recurring transactional text messages from FADE™ at that number, including messages sent using automated technology. Consent is not a condition of any purchase.
3. Message Frequency
Message frequency varies and depends on your booking and appointment activity.
4. Message and Data Rates
Message and data rates may apply, depending on your mobile carrier and plan. You are responsible for any charges from your wireless carrier.
5. Opt-Out and Help
You can cancel text messages at any time by replying STOP to any message. After you reply STOP, you will receive one final message confirming that you have been unsubscribed, and no further messages will be sent unless you opt in again.

6. Privacy and No Sharing for Marketing
Your mobile number and text-messaging consent are used only to provide the FADE™ service. We do not sell or share your mobile information or consent with third parties for their own marketing purposes. Our handling of your information is further described in our Privacy Policy.
7. Carrier Disclaimer
Wireless carriers are not liable for delayed or undelivered messages. Message delivery is subject to effective transmission by your mobile carrier and is outside NBLK®'s control.
8. User Responsibilities
If you use FADE™ to add and message your own contacts, you represent and warrant that you have obtained each contact's consent to receive appointment-related text messages before adding them, and that you will comply with all applicable laws and regulations, including the Telephone Consumer Protection Act (TCPA) and carrier and CTIA messaging guidelines. You are solely responsible for your use of the program and for the contacts you add. You agree to indemnify and hold harmless NBLK® LLC from any claims, damages, or liabilities arising from your failure to obtain proper consent or from your misuse of the program.
9. Changes and Governing Law
NBLK® may update these SMS Terms at any time; updates are effective when posted. These SMS Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, and are provided in addition to the NBLK® Terms of Use above.
